TERMS OF SERVICE

1. GENERAL PROVISIONS
These Terms of Service govern the provision of professional Project Documentation & Reporting services by Good Bad Data, operating as a sole trader under the laws of Poland.
The services are primarily intended for business clients and may include project documentation, production reporting, quality reporting, data consolidation, and related professional support.
2. SERVICES
The services may include, depending on the individual agreement:
Project Charters;
RACI / RCI Matrices;
Gantt Charts and Project Schedules;
Project Status Reports;
Daily and Weekly Reports;
Action Lists and Action Logs;
Issue Logs;
Risk & Issue Registers;
Quality Status Reports;
Inspection Reports;
Measurement Reports;
Non-Conformity Reports (NCR);
Defect Reports;
Production & Quality Summaries;
data consolidation and analysis;
documentation updates and maintenance;
other project documentation agreed with the client.
The exact scope, deliverables, deadlines and remuneration are determined in the quotation, order, statement of work or individual agreement.
3. CLIENT RESPONSIBILITIES
The Client is responsible for providing accurate, complete and timely information, documents and data necessary to perform the services.
The Client is also responsible for ensuring that it has the necessary rights and permissions to provide such information and documentation.
If the Client provides incomplete, inaccurate or delayed information, this may affect the scope, quality or delivery date of the service.
4. SOURCE DATA
Reports and documentation are prepared based on information, documents, measurements, records and instructions available to the Service Provider.
Unless expressly agreed otherwise, the Service Provider does not independently verify the accuracy of all information supplied by the Client or third parties.
The Service Provider is not responsible for errors resulting solely from inaccurate, incomplete or outdated source information supplied by the Client or third parties.
5. DELIVERABLES
Deliverables may be provided electronically in commonly used formats, including PDF, Microsoft Excel, Microsoft Word, Microsoft PowerPoint or other formats agreed with the Client.
Unless otherwise agreed, editable source files, templates, working files and internal notes are not included in the final deliverable.
6. CHANGES AND REVISIONS
Reasonable corrections resulting from errors attributable to the Service Provider may be made without additional charge.
Changes to the agreed scope, additional requirements, new information supplied after completion or substantial revisions requested by the Client may constitute additional services and may be charged separately.
7. DELIVERY TIMES
Estimated delivery dates are based on the information and materials available at the time of commencement.
If the Client fails to provide required information on time, the delivery date may be reasonably extended.
8. FEES AND PAYMENT
Fees are specified in the quotation, order or individual agreement.
Unless otherwise agreed:
invoices are payable within 14 days;
all prices are stated in EUR, unless otherwise specified;
bank charges imposed by the Client's bank are borne by the Client.
For larger projects, an advance payment or milestone payments may be required.
9. INTELLECTUAL PROPERTY
Unless otherwise agreed in writing, the Client receives the right to use the final deliverables for its internal business and project purposes after full payment.
Pre-existing templates, methodologies, know-how, processes, structures and tools used by the Service Provider remain the property of the Service Provider.
The Client may not resell, commercially redistribute or sublicense the Service Provider's pre-existing materials without prior written consent.
10. CONFIDENTIALITY
Both parties shall keep confidential all non-public business, technical, commercial and project information received in connection with the services.
Confidential information shall not be disclosed to third parties except where:
required by law;
necessary to perform the contract;
authorised by the other party;
already publicly available through no fault of the receiving party.
11. DATA PROTECTION
Personal data is processed in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR).
Where the Service Provider processes personal data on behalf of the Client, the parties shall enter into a separate Data Processing Agreement where required by law.
12. LIABILITY
The Service Provider shall perform the services with reasonable professional care.
To the extent permitted by applicable law, the Service Provider shall not be liable for:
indirect or consequential losses;
loss of profit;
loss of business opportunities;
losses resulting from inaccurate information supplied by the Client;
decisions made by the Client or third parties based solely on project documentation or reports.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
13. CANCELLATION
A Client may request cancellation of a service before work begins.
If work has already started, the Client may be charged for the work completed up to the effective cancellation date, together with any non-refundable costs reasonably incurred in connection with the project.
Specific cancellation terms may be agreed individually for long-term or project-based engagements.
14. GOVERNING LAW
Unless mandatory provisions of applicable law provide otherwise, these Terms and the services provided under them shall be governed by the laws of Poland.
For B2B agreements, disputes shall be subject to the jurisdiction agreed in the applicable contract.
Mandatory consumer protection rights remain unaffected.
15. AMENDMENTS
These Terms may be updated from time to time.
The version applicable to a particular service is the version accepted by the parties at the time the relevant agreement is concluded, unless otherwise required by law.
